This is a person who is deemed to be a director by virtue of his office or function within an organisation. Section 66 (4) (a) (ii) of the Companies Act (71 of 2008) states: "a person to be an ex offıcio director of the company as a consequence of that person holding some other office, title, designation or similar status". In other words, the Act assumes that a person is a director if they are fulfilling the functions of a director whether they have been officially appointed or not.
